2. Intellectual Property Rights

Unless otherwise stated, Digital Web Idea and/or its licensors own the intellectual property rights for all material on Digital Web Idea. All intellectual property rights are reserved. You may access this from Digital Web Idea for your own personal use subjected to restrictions set in these terms and conditions.

• Client Content: The Client retains all intellectual property rights to any content, including text, images, logos, and other materials, provided by them for use in the project.

• Agency Deliverables: Upon full and final payment, the Client will be granted a non-exclusive, perpetual, worldwide license to use the developed website or software deliverables for their business purposes. The Agency retains ownership of all pre-existing development tools, software, and intellectual property that may have been used to create the deliverables.

3. Payments and Billing

• Pricing: All prices for services will be detailed in a separate project proposal or agreement. All fees are exclusive of applicable taxes.

• Payment Schedule: A deposit may be required to begin the project, with the remaining balance due upon completion or as per a mutually agreed-upon payment schedule.

• Late Payments: If payment is not received by the due date, we reserve the right to suspend work on the project and may charge a late fee.

4. Client Responsibilities

The Client agrees to:

• Provide all necessary content, images, and information required for the project in a timely manner. Delays in providing content may result in a delay in the project completion date.

• Review and approve designs, mockups, and work in progress within a specified timeframe.

• Provide clear and timely feedback to ensure the project stays on track.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Digital Web Idea excludes all representations, warranties, and conditions relating to our website and the use of this website. Nothing in this disclaimer will:

• Limit or exclude our or your liability for death or personal injury.

• Limit or exclude our or your liability for fraud or fraudulent misrepresentation.

   

• Limit any of our or your liabilities in any way that is not permitted under applicable law.

   

• Exclude any of our or your liabilities that may not be excluded under applicable law.

Either the Client or the Agency may terminate a project agreement with written notice if the other party breaches any of the terms of this agreement and fails to remedy the breach within a reasonable timeframe.
